1. Acceptance of Terms
By accessing or using withspine.co (the "Site"), you agree to be bound by these Terms of Service (the "Terms"), our Privacy Policy, and any additional rules, guidelines, or notices we may publish from time to time. These Terms apply to all visitors and users of the Site ("Users"). If you do not agree to these Terms, you should not access or use the Site.
2. About Spine
Spine is the trading name of WithSpine Ltd, a private limited company incorporated in England and Wales (company number 17213475), with its registered office at 124 City Road, London EC1V 2NX, United Kingdom. Spine provides hiring intelligence services to hiring organisations, including pre-hire candidate assessment, structured post-hire validation, and recruiter-affiliate sourcing through its certified recruiter network. The Site exists to describe these services and to facilitate engagement with prospective Clients, candidates, and recruiters.
3. Eligibility
You must be at least 18 years old to use the Site. By accessing or using the Site, you confirm that you are of legal age and have the legal capacity to agree to these Terms. If you are using the Site on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
4. Use of the Site
You agree not to use the Site for any unlawful purpose, to interfere with or disrupt the integrity or performance of the Site, to attempt unauthorised access to the Site or any related systems or networks, to use automated means (including scrapers, crawlers, or bots) to access the Site other than for legitimate search engine indexing, or to introduce any virus, malware, or other harmful code. Spine reserves the right to suspend or terminate access for any User in breach of these Terms.
5. Engagement of Services
The Site does not itself constitute an offer to provide services. Any engagement of Spine for hiring intelligence services, candidate assessment, recruiter affiliate participation, or any other commercial relationship is governed exclusively by a separate written agreement between Spine and the relevant counterparty (such as a Pilot Engagement Agreement or Recruiter Terms of Business). Nothing on the Site shall be construed as a contract or commitment by Spine to provide services in the absence of such a separate written agreement.
6. Intellectual Property
All content on the Site, including text, images, branding, methodology descriptions, scorecard frameworks, and underlying software, is owned by WithSpine Ltd or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, publish, or create derivative works of any Site content without Spine's prior written permission, except for normal viewing and personal, non-commercial reference. Spine's name, logo, and the trading name "Spine" are trade marks of WithSpine Ltd.
7. User Submissions
Where the Site enables submission of content or information (including contact form messages, candidate enquiries, or recruiter applications), you grant WithSpine Ltd a non-exclusive, royalty-free, worldwide licence to use, store, and process such content for the purpose of responding to your enquiry and operating the Site. You represent and warrant that any content you submit is accurate, lawful, and does not infringe the rights of any third party.
8. Privacy
Spine's processing of personal data submitted through or in connection with the Site is governed by the Privacy Policy, available at withspine.co/legal/privacy-policy. By using the Site, you acknowledge that you have read the Privacy Policy and understand how your personal data is collected, used, and retained.
9. Third-Party Links
The Site may contain links to third-party websites and resources that are not operated or controlled by Spine. Spine is not responsible for the content, accuracy, privacy practices, or availability of any third-party site. The inclusion of any link does not imply endorsement by Spine of the linked site or its operator. You access third-party sites at your own risk.
10. Disclaimer of Warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Spine disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties that the Site will be uninterrupted, error-free, or free of harmful components. Spine does not warrant the accuracy, completeness, or reliability of any content, information, or material made available through the Site.
11. Limitation of Liability
To the fullest extent permitted by law, WithSpine Ltd, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Site. Spine's total aggregate liability arising in connection with the Site shall not exceed one hundred pounds sterling (£100). Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be limited or excluded under applicable law.
12. Indemnity
You agree to indemnify and hold harmless WithSpine Ltd, its directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your violation of any applicable law or third-party right.
13. Termination
Spine reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including for any breach of these Terms. The provisions of these Terms which by their nature should survive termination, including those relating to intellectual property, disclaimer of warranties, limitation of liability, indemnity, and governing law, shall survive.

Continued use of the Site following the posting of any changes constitutes acceptance of the revised Terms. Where Spine has an active commercial relationship with you under a separate written agreement, material changes will be brought to your attention directly.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
